General Terms

Within these Terms of Service the term "uptact®", "we", "us" or "our" will refer to uptact aps. The term "you" refer to you as a user of services and software provided by uptact®. By using our services you are agreeing to be bound by the following Terms of Service. Any new features or updates provided by uptact®, that augment our current service shall be subject to the Terms of Service. We encourage you to print a copy of these Terms of Service for your records and to read and print our Privacy Policy found on our website.

uptact® reserves the right to update and/or change these Terms of Service periodically without further notice. Your continued use of our services after such changes shall constitute your consent to such changes.

You may not use our service for any illegal, unlawful or unauthorized purpose, or violate any laws in your jurisdiction, including but not limited to posting, uploading, storing, sending, transmitting, publishing or distributing any software, information or other material that could constitute a criminal offence or that a reasonable person would deem unlawful, violate any copyrights or other proprietary rights, without proper permission of the owner, or contains any malware, worm, virus or any other harmful feature.

You may not participate in activities known as "spidering" or "harvesting", i.e. the collection of large numbers of phone number, e-mail addresses or other personal information, or use "spyware" or similar software to facilitate such activities, or in any other way engage in systematic retrieval of data, including capturing, ripping, downloading or copying any data from the service.

Violation of the Terms of Service will result in termination of your account.

In order to use our services you may be required to create a personal profile by registering information about yourself, such as name, phone number, e-mail, etc. You agree that any information that you provide uptact® with will be accurate, correct and current. You may not impersonate any person or entity, engage in sender address falsification, or perform similar fraudulent activities, or take any actions for the purpose of distorting, manipulating or undermining the accuracy or integrity of the service.

You are responsible for maintaining the security of your own account and the confidentiality of your password(s). uptact® is not liable to any damages or loss that may occur as a result of your failure to comply with this obligation. Furthermore, you agree that you will notify uptact® immediately if you become aware of unauthorized use of your uptact® profile.

Property Rights

You acknowledge and agree that uptact® own all legal rights, title, and all interests in and to the service, including but not limited to all software, intellectual property rights, and all other rights. You agree not to copy, reproduce, duplicate, reverse engineer, sell, resell or exploit any portion of our service. Furthermore, you agree not to use uptact® for commercial purposes without written permission from uptact®.

uptact® gives you a worldwide, non-assignable, non-exclusive license to use our services for your personal, non-commercial use on the terms and conditions set forth in these Terms of Service. This license is for the sole purpose of enabling you to enjoy the benefits of our services as provided by uptact®, in the manner as permitted by these Terms of Service.

You retain all rights to the content you upload. We will not use this content for commercial purposes or sell your information to third party, without your consent.

By creating a profile and uploading your contact information to our database, uptact® allows you to distribute your complete and updated profile to other uptact® user, who has parts of your contact information in their address books.

In order for us to operate our services, you agree that uptact® obtains from you a non-exclusive, royalty free, transferrable, irrevocable, and worldwide licence to the content you upload to our services, so that our service do not violate any copyright laws or other rights when distributing your contact information to other uptact® users as described above.

By terminating your uptact® account (registered users) this license automatically expires and your uptact® contacts will no longer receive updates in their address books when you change your contact information, nor will you receive updates from your contacts. However, the contact information you have shared with other uptact® users will remain stored on their devises. In addition, copies of your data, that uptact® has archived as part of our back-up procedure may be stored, but will not be actively used.

We reserve the right at any time and at our sole discretion to modify, expand or discontinue the service or any part thereof, with or without notice. You agree that uptact® shall not be liable to you or any third party for any modifications, suspensions, etc. of any part of the service.

Advertising

Our service may be supported by advertising revenue and therefore we may display advertisements that may or may not be targeted to content subject matter, on or in connection with the service. By using our services you agree that we may present advertising in connection with the service. Our decision to utilize advertising (including terms, manner, and mode for any advertising presented with the service) is subject to change. Your interactions with advertisers are solely between you and such advertisers.

Notifications

You agree that we may provide you with notifications, hereunder but not limited to in-app notifications, text (SMS) notifications, email notifications, or regular mail notifications related to our service, in our discretion, and that we may rely upon the contact information you have provided as being accurate, complete and current.

Disclaimer

uptact® service is provided on an "As Is", "With all faults", and "as available" basis which means your use of the Service is at your own sole risk at any time. uptact® does not warrant that: (1) our service will meet your specific requirements, (2) our service may be uninterrupted, fully secure or error-free, (3) results obtained from usage of the Service will be accurate or reliable, or (4) errors in the Service will be corrected.

By accepting the Terms of Service, you expressly agree that uptact® shall not be liable for any direct, indirect, incidental, special, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from your use of our services.

You understand that by using uptact® you may be exposed to content that your may find offensive, indecent or objectionable. In this respect, you use uptact® at your own risk. You agree that you are solely responsible for any content you upload to our services and that uptact® has no responsibility to you or any third party.

Termination of the Terms of Service

General Legal Terms, Termination And Governing Law

The Terms of Service constitute the whole legal agreement between you and uptact® and govern your use of our services. If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Terms of Service is invalid, then that provision will be removed from the Terms of Service without affecting the rest of the Term of Service. The remaining provisions of the Terms of Service will continue to be valid and enforceable.

Registered users may terminate their uptact® account at any time. Doing so will delete your account and terminate these Terms of Service (please confer the section "Property Rights" above regarding content uploaded to our databases).

Unregistered users may discontinue the use of our services at any time and by doing so terminate these Terms of Service.

All potential legal matters arising from or related to the use of the service shall be interpreted in accordance with the laws of Denmark.
